1. Acceptance of Terms

By accessing and using the Community SurPad 4.2 (the “Portal”), you accept and agree to be bound by these Terms of Service (the “Terms”). If you do not agree to these Terms, please do not use the Portal.

2. Description of Service

The Portal is designed to support the SurPad 4.2 software for surveyors by providing a platform for information sharing and discussion. Users can publish and discuss various topics related to the software.

3. User Conduct

You agree to use the Portal in a manner that is lawful and respectful to others. Prohibited actions include, but are not limited to:

• Posting or transmitting any content that is illegal, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable.

• Impersonating any person or entity, or falsely stating or otherwise misrepresenting your affiliation with a person or entity.

• Engaging in any activity that disrupts or interferes with the Portal’s functionality.

• Using the Portal for any commercial purpose without our prior written consent.

4. User Content

By submitting content to the Portal, you grant Geometer International LLC a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such content in any media. You represent and warrant that you own or have the necessary rights and permissions to use and authorize us to use all intellectual property rights in and to any content you submit.

5. Moderation and Enforcement

We reserve the right, but are not obligated, to monitor and review user content and activity on the Portal. We may remove any content or terminate any user account that violates these Terms or is otherwise objectionable, without prior notice or liability.

6. Privacy

Your use of the Portal is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand our practices regarding the collection and use of your information.

7. Intellectual Property

All content and materials on the Portal, including but not limited to text, graphics, logos, and software, are the property of Geometer International LLC or its licensors and are protected by intellectual property laws. You agree not to reproduce, duplicate, copy, sell, resell, or exploit any portion of the Portal without our express written permission.

8. Disclaimer of Warranties

The Portal is provided on an “as is” and “as available” basis. We make no representations or warranties of any kind, express or implied, regarding the operation or availability of the Portal, or the information, content, materials, or products included on the Portal. You expressly agree that your use of the Portal is at your sole risk.

9. Limitation of Liability

To the fullest extent permitted by law, Geometer International LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (a) your use or inability to use the Portal; (b) any unauthorized access to or use of our servers and/or any personal information stored therein; (c) any interruption or cessation of transmission to or from the Portal; (d) any bugs, viruses, Trojan horses, or the like that may be transmitted to or through our Portal by any third party; (e) any errors or omissions in any content or for any loss or damage incurred as a result of the use of any content posted, emailed, transmitted, or otherwise made available through the Portal.

10. Indemnification

You agree to indemnify, defend, and hold harmless Geometer International LLC, its affiliates, and their respective officers, directors, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising from your use of the Portal or your violation of these Terms.

11. Changes to Terms

We reserve the right to modify these Terms at any time. Any changes will be effective immediately upon posting on the Portal. Your continued use of the Portal after any such changes constitutes your acceptance of the new Terms.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Ukraine, without regard to its conflict of law principles. Any disputes arising out of or related to these Terms or the use of the Portal shall be subject to the exclusive jurisdiction of the courts located in Ukraine.
